Andrzej has gained his experience working on numerous projects involving foreign investors and major Polish companies in the field of M&A, sale and acquisition of enterprises, as well as on a variety of company restructurings and reorganisations, including by way of merger (also cross-border), division, transformation and liquidation. He also advises on day-to-day corporate matters and meetings of company’s governing bodies, and carries out analyses relating to various aspects of companies’ operations.

Furthermore, his interests and experience cover the succession planning for family businesses, as well as legal and tax protection of the business during generation change.

Being a Certified Insolvency and Restructuring Advisor, Andrzej is an expert on restructuring proceedings involving bankrupt entities, and on bankruptcy matters.

Andrzej is a graduate of the Faculty of Law and Administration at the Adam Mickiewicz University in Poznan and post-graduate studies in restructuring law at the Łazarski University in Warsaw. He completed his attorney-at-law training at the Poznan Bar Association of Attorneys-at-Law.

Marcin legal counsel with 20 years’ experience. Chief legal counsel (2006-2011) at one of the largest media PLCs. Board member for companies in the telecommunication and betting industries.

Board level advisor with extensive experience in negotiations on takeovers and complex sales. Throughout his career, he has been proactively involved in acquiring numerous companies including in the telecoms sector, where he was in charge of the negotiating commercial terms as well as legal and tax matters.

He has also been involved in multi-layered restructuring transactions, as well as obtaining billions of euros in financing. He was instrumental in the completion of the largest bond issue by a private company on the Polish market. He initiated and created the largest ad-hoc banking consortiums to reorganise the financing provision of a media group. Responsible for a number of IPOs as well as the delisting of companies from the Warsaw Stock Exchange.

In 2019 he was involved in the sale of the largest Polish media company, a multi-billion euro transaction. He specialises in risk mitigation and supporting his clients through complex transactional stages.

Outside of work, he is a family man and a football fan.

Michael, a native New Yorker, founded ThreeBrook Associates LLC and has been its Chairman and Chief Executive Officer since 2008.

For over 35 years, Michael has been a practicing business lawyer and an adviser to varied USA and overseas businesses and entrepreneurs.

Michael possesses law degrees from New York University School of Law and St. John’s University School of Law (Executive Editor of the Law Review). Michael initially worked as a finance attorney at the U.S. Securities and Exchange Commission and then at several highly regarded business law firms (including Hawkins Delafield & Wood; Hall McNicol; and Schnader Harrison) developing expertise in legal, business and financial transactions, with special emphasis on cross-border matters.

Michael also co-founded and co-managed a successful and respected cross-border consulting company that largely focused on the USA and the European investments of a number of Russia and Eastern European-based companies, family offices and individuals.

Most recently, as Chairman of Skate’s LLC (dba Skate’s Art Market Research), Co-Founder and Director of the Art Investment Council, and general counsel of ARTnews Ltd, Michael has become steeped in the global art world and is particularly knowledgeable about art as an asset/investment.

Michael holds the position of Senior Advisor to Charon Capital (Greenwich, CT), a family company / private investment company. He is also Senior Adviser to Futures Education and and Futures HealthCore (Massachusetts).

Michael is licensed to practice as lawyer in New York (USA).

Lawyer in love with yachts and Monaco who shares her love through a blog about yacht law called Hercberg Yacht Law and about Monaco called MCHercberg.

She advises individual clients on international property planning, as well as on matters related to the change of place of residence or citizenship. She also advises on the restructuring of private and business assets and the management of luxury goods.

In addition, she specializes in issues related to legal services for domestic and international structures used in projects related to tax planning and capital restructuring. She also has experience in advising entities from the energy sector as well as retail and e-commerce.

She graduated from the Faculty of Law and Administration at the University of Warsaw and the Centre for French and European Law at the University of Warsaw. In 2020, she defended her doctoral thesis entitled “Legal and tax qualification of greenhouse gas emission permits on the example of regulations in French and Polish law” at the Faculty of Law and Administration of the University of Warsaw.

In 2020, she was also entered on the list of legal advisers of the District Chamber of Legal Advisers in Warsaw.

Łukasz has 15 years of experience in taxes.
He supported his clients working for PwC and KPMG, as counsel to the international real estate group Immofinanz, and a co-founder of Galt.

Łukasz’s expertise includes advising big entities and groups. He participated in large capital group transformations, with the biggest project being worth approximately PLN 500 million. He has advised entities from various industries, particularly FMCG and real estate.

He graduated from the Faculty of Law and Administration at the University of Warsaw and completed post-graduate studies in Enterprise Economics at SGH Warsaw School of Economics.

Tax advisor with almost five years’ experience gained working for WTA’s tax team, Galt Tax, and during his internship at the Ministry of Finance and other tax authorities.

Łukasz’s professional expertise includes advice to the finance, FMCG and automotive industries. He advised on the execution of real estate projects and participated in capital group restructurings.

He is a PhD student at Leon Koźmiński University and a graduate of SGH Warsaw School of Economics and Cardinal Stefan Wyszyński University in Warsaw.
